1. Agreement to Terms

The specific scope, deliverables, and timelines for each engagement will be outlined in a separate service agreement or statement of work ("SOW").
3. Consultations
Free consultations offered through our Site are introductory in nature, limited to 30 minutes, and do not constitute a binding service agreement. We reserve the right to decline or reschedule consultations at our discretion.
4. Payment Terms
Payment terms, including fees, billing schedules, and accepted methods of payment, will be specified in the applicable SOW. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
5. Intellectual Property
All content on this Site — including text, graphics, logos, icons, images, and software — is the property of DigitallyStart LLC or its licensors and is protected by United States and international copyright and intellectual property laws. Deliverables produced for clients under an SOW become the client's property upon full payment, unless otherwise specified.
6. Confidentiality
Both parties agree to treat as confidential any non-public information shared during the engagement. This obligation survives termination of any agreement for a period of two (2) years.
7. Limitation of Liability
To the fullest extent permitted by law, DigitallyStart LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, whether based on warranty, contract, tort, or any other legal theory. Our total liability shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim.
8. Disclaimer of Warranties
Our Site and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific business outcomes or results from our consulting services.
9. Indemnification
You agree to indemnify and hold harmless DigitallyStart LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Site or breach of these Terms.
10. Termination
Either party may terminate a service engagement as specified in the applicable SOW. We reserve the right to suspend or terminate your access to the Site at any time without notice for conduct that we believe violates these Terms or is otherwise harmful.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Travis County, Texas.
